The specific scope, deliverables, timelines, and fees for any paid engagement will be set out in a separate written proposal, statement of work, or agreement ("Service Agreement"). In the event of a conflict, the Service Agreement controls over these Terms for that engagement.

3. Free Audit

We may offer a complimentary audit of your website's search and AI visibility. The free audit is provided for informational purposes only, on an “as-is” basis, and does not constitute a guarantee of results or a binding offer of services. We reserve the right to decline, limit, or discontinue the free audit at our discretion.

4. No Guarantee of Results

Search engine and AI-platform rankings are determined by third parties (such as Google and AI search providers) using proprietary, frequently changing algorithms that are outside our control. While we apply established best practices and professional expertise, we do not and cannot guarantee any specific ranking, traffic, impression, click, lead, revenue, or other outcome. Any examples, case studies, or past results shown are illustrative and are not a promise of future performance.

5. Client Responsibilities

If you engage our services, you agree to:

• Provide accurate, complete information and timely access to accounts, analytics, and platforms reasonably needed to perform the services.
• Obtain and maintain all rights, licenses, and permissions for content and materials you provide to us.
• Review and approve deliverables and respond to requests within a reasonable time.
• Comply with the guidelines and terms of service of relevant third-party platforms.

6. Acceptable Use

You agree not to:

• Use the website or services for any unlawful, harmful, or fraudulent purpose.
• Attempt to gain unauthorized access to our systems or interfere with the operation of the website.
• Copy, reproduce, or redistribute our content without authorization.
• Misrepresent your identity or affiliation.

7. Intellectual Property

For paid engagements, ownership of custom deliverables will be addressed in the applicable Service Agreement. We retain ownership of our pre-existing methodologies, tools, and know-how.

8. Fees & Payment

Fees for paid services are set out in the applicable Service Agreement. Unless otherwise stated, invoices are due as specified in that agreement. Late or unpaid amounts may result in suspension of services. Fees are non-refundable except as expressly provided in writing.

9. Third-Party Services

Our services may rely on or interact with third-party platforms, tools, and services. We are not responsible for the availability, performance, policies, or actions of those third parties, and your use of them may be subject to their own terms.

10. Disclaimers

The website and services are provided on an “as-is” and “as-available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, SeoChopper and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the website or services. Our total aggregate liability for any claim will not exceed the amount you paid to us for the specific services giving rise to the claim in the three (3) months preceding the claim, or, where no fees were paid, one hundred U.S. dollars (USD $100).

You agree to indemnify, defend, and hold harmless SeoChopper and its owners, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the services, your content, or your violation of these Terms or applicable law.

We may suspend or terminate your access to the website or services at any time, with or without cause or notice. Provisions that by their nature should survive termination - including intellectual property, disclaimers, limitation of liability, and indemnification - will survive.

These Terms are governed by the laws of the State of Texas and the United States, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the services will be subject to the exclusive jurisdiction of the state and federal courts located in Texas, unless otherwise agreed in writing.
